These Terms & Conditions govern access to and use of the TRUDO TECH website, as well as the general framework of the relationship with individuals and companies interested in its custom development, automation and artificial intelligence services. We recommend reading them carefully.
1. Purpose
These Terms govern the conditions of access, browsing and use of the website owned by TRUDO TECH, as well as the general conditions applicable to information about its services. The engagement of any service will additionally be governed by the specific proposal and contract signed in each case.
2. Identification of the owner
The owner of the website is TRUDO TECHNOLOGIES LTD, a company incorporated in the Republic of Seychelles, with registered address at 306 Victoria House, Victoria, Mahé, Seychelles. Contact email: hello@trudotechnologies.xyz.
3. Acceptance and modifications
Accessing and using the site confers the status of user and implies full acceptance of these Terms in the version published at any given time. TRUDO TECH may modify them at any time for legal, technical or business reasons; modifications will take effect upon publication.
4. Definitions
"Site" means TRUDO TECH’s website; "User" means any person accessing the Site; "Client" means the natural or legal person engaging the services; "Services" means the custom development, automation and artificial intelligence solutions; "Deliverables" means the results developed for the Client; and "Prototype" means the preliminary, demonstrative version of a solution.
5. Access and use of the website
Access to the Site is free, except for connection costs. TRUDO TECH does not guarantee the uninterrupted availability and continuity of the Site, and may temporarily suspend access for maintenance, security or reasons beyond its control, without this giving rise to any liability.
6. User obligations
The User undertakes to make diligent, lawful use in accordance with these Terms, the law, good faith and public order. The User is responsible for the truthfulness and accuracy of the data provided through the Site.
7. Prohibited conduct
It is prohibited to use the Site for unlawful or harmful purposes; to introduce or spread malicious code; to attempt unauthorised access to systems or data; to carry out actions that damage, overload or impair the normal operation of the Site; or to extract its content in a massive or automated manner without authorisation.
8. TRUDO TECH’s services
TRUDO TECH develops custom automation and artificial intelligence solutions aimed at generating returns for its Clients. The information published on the Site (projects, sectors, technologies, metrics or examples) is purely informative and indicative, and does not constitute a binding offer or a guarantee of specific results.
9. Engagement of projects
The service relationship usually begins with a diagnosis phase and a proposal. The provision of the Services will only be formalised through the express acceptance of the proposal and/or the signing of the specific contract, which will prevail over these Terms regarding the scope, timelines, prices and particular conditions of the project.
10. Evaluation phase and prototypes
The initial diagnosis phase and, where applicable, the demonstrative prototype are offered, unless expressly stated otherwise, at no cost to the prospective Client and for the sole purpose of evaluating the feasibility of the solution.
Unless otherwise agreed, prototypes are delivered on a demonstrative basis, may contain functional limitations, and the ownership and exploitation rights of the final developments will be governed by the project contract. The information exchanged in this phase is confidential for both parties.
11. Quotes, prices and invoicing
The prices and financial conditions of each project will be those set out in the accepted proposal or contract. Unless expressly stated, prices do not include taxes, duties or withholdings, which will be applied in accordance with the regulations applicable to the Client. The invoicing and payment conditions will be those agreed in each case.
12. Intellectual property of the site
All contents of the Site (texts, designs, logos, trademarks, graphics, source code and software) are owned by TRUDO TECH or by third parties who have authorised their use, and are protected by intellectual and industrial property regulations. No exploitation rights are granted beyond what is strictly necessary to use the Site.
13. Intellectual property of deliverables
Unless the project contract provides otherwise, ownership of the Deliverables developed specifically for the Client will be transferred to the Client once the agreed price has been paid in full. TRUDO TECH may retain the know-how, methodologies, libraries and pre-existing or general-purpose generic components used in the development.
14. Third-party software and open source
The solutions may integrate third-party software, cloud services, artificial intelligence models or open-source components, subject to their own licences and conditions, which the Client undertakes to respect. TRUDO TECH will disclose the relevant dependencies within the framework of each project.
15. Confidentiality
The parties undertake to keep confidential all information accessed in connection with the relationship, and not to use it for purposes other than the collaboration. This obligation will survive the termination of the relationship. At the Client’s request, a specific confidentiality agreement may be signed.
16. Data protection and processor relationship
The processing of personal data is governed by the Privacy Policy. When, within a project, TRUDO TECH processes personal data on behalf of the Client, the parties will sign the corresponding data processing agreement, with the Client acting as controller and TRUDO TECH as processor. Where the GDPR applies to that processing, the agreement will meet the requirements of Article 28 GDPR.
17. Ethical use of AI and human oversight
Systems based on artificial intelligence models, especially generative ones, may produce inaccurate or incomplete results. TRUDO TECH designs its solutions to assist people and recommends maintaining adequate human oversight over relevant decisions. The Client is responsible for the use it makes of the solutions in its operations.
18. Warranties and disclaimer
The Site and its contents are made available "as is". TRUDO TECH does not guarantee the absence of errors or that the Site is free from elements that may cause alterations to the User’s computer system, and recommends adopting appropriate security measures. Warranties on contracted Services will be those set out in each project’s contract.
19. Limitation of liability
To the extent permitted by law, TRUDO TECH will not be liable for indirect damages, loss of profit or loss of data arising from the use of the Site. Liability arising from contracted Services will be governed and limited in accordance with the specific contract of each project. Nothing in these Terms excludes liability that cannot be legally excluded.
20. Force majeure
Neither party will be liable for failure to perform its obligations where this is due to force majeure or unforeseeable circumstances beyond its reasonable control (including, among others, widespread telecommunications or supply failures, third-party cyberattacks or decisions of authorities).
21. Third-party links
The Site may contain links to third-party pages. TRUDO TECH assumes no responsibility for the contents, services or policies of such sites, access to which is at the User’s sole responsibility.
22. Severability
If any clause of these Terms is declared null or ineffective, such declaration will not affect the validity of the rest, which will remain in force, with the affected clause being replaced by another that respects as much as possible the intended purpose.
23. Applicable law and jurisdiction
These Terms are governed by the laws of the Republic of Seychelles. For the resolution of any dispute arising from or relating to the Site or these Terms, the parties submit to the exclusive jurisdiction of the courts of the Republic of Seychelles, without prejudice to any mandatory rights available to consumers under the law of their country of residence.
